Job Description:
FUNCTION & SCOPE:
Reporting to the Deputy General Counsel and Secretary, incumbent will work closely with Research Foundation's Office of Sponsored Programs and Regulatory Affairs as well as campus academic and business leadership, and SUNY counsel. Day-to-day duties will involve a wide range of legal issues reflecting the complex and diverse sponsored program activity of SUNY and the Research Foundation.
Responsibilities will include participation in regular meetings with SUNY campus sponsored programs administrative staff and leadership, routine and complex contract negotiation and drafting, dispute resolution and litigation support, investigation support, and policy drafting and review, all within the context of SUNY's sponsored programs.

RESPONSIBILITIES:
  • Counsel RF and SUNY campus business and academic managers and senior leadership on a broad range of legal, business, and policy issues related to the academic research enterprise. Theseinclude matters related to the RF's tax-exempt status, research compliance investigation, industry and government research grants and contracts, clinical trials administration, finance, post-award accounting, procurement, legislative analysis;
  • Assist in the management of litigation arising from sponsored programs activity and making appearances and presenting evidence at administrative hearings before administrative agencies, arbitrators, and other entities. Cases typically involve breach of contract, collections, patent infringement, employee relations, and/or negligence;
  • Conduct and/or assist with conducting internal investigations; work with internal audit and SUNY counsel on corresponding investigations as needed. Assist in federal, state and local reporting processes, evaluate findings, and determine appropriate resolutions;
  • Provide direct support to campuses in the area of research related conflicts of interest, undue foreign influence, and U.S. export controls;
  • Prepare legal documents with contractors and subcontractors, vendors, research sponsors, and governmental entities. Contracts may include master clinical trials agreements, master services agreements, lease agreements, subaward agreements, nondisclosure agreements, material transfer agreements, equipment and real property leases, material testing agreements, settlement agreements, and procurement contracts;
  • Promote and support company policies, procedures, mission, values, and standards of ethics and integrity; support the corporation's control environment by helping to identify, assess, and manage legal risks and liabilities, assist with the creation, implementation, and enhancement of corporate processes, polices, and procedures, and partner with business unit leaders to identify and facilitate business process improvement initiatives; and
  • Perform other legal and administrative functions to support the RF's strategic and operating plans.
    
Requirements:
  • JD from an accredited law school, membership in good standing or eligibility for membership in NY State bar;
  • A minimum of 5-6years of experience, including in-house counsel or related law firm practice;
  • Primary responsibility for negotiating research related agreements with both public and private sponsors;
  • Experience with federal contracting including working with Federal Acquisition Regulations;
  • Knowledge of clinical research contracting and grants including drafting, reviewing, negotiating, revising and advising on a variety of sophisticated and complex transactions such asresearch and development contracts, collaboration agreements, subawards, clinical research site agreements, services and consulting agreements, inbound/outbound licensing agreements, technology agreements, and partner and vendor agreements;
  • Experience with, or understanding of, federal rules, regulations, and statutes governing university grant and contract compliance and relevant enforcement actions;
  • Litigation experience preferred including discovery, document collection, motion practice, and related legal research;
  • Experience with compliance investigations, fact findings, and related matters preferred;
  • Proficiency in Microsoft Word; competency in PowerPoint and Excel.

  • Experience and/or appreciation for issues in representing academic research organizations and/or faculty, researchers, and academic administrators;
