POSITION SUMMARY:
The In-House Legal Counsel ("IHLC") reports to the VP for Finance/CFO, with a dotted line to the President. They are responsible for providing legal guidance and day-to-day legal services to the University including:

ESSENTIAL FUNCTIONS:
  • Advise the President and other senior administrators on matters pertaining to applicable laws, articles of incorporation, bylaws, regulations, mandates and other duties under the law, including active and pending litigation.
  • Provide legal advice and solution-oriented recommendations on a wide variety of issues.
  • Develop expertise and provide legal guidance, updates, reviews, and recommendations on existing and evolving laws (including statutes and regulations) and legal trends involving all aspects of University academic and non-academic operations. Such areas include but are not limited to non-profit regulations, labor and employment law, administrative and constitutional law, contracts, privacy, academic and research regulations, construction and real property regulations, landlord tenant issues, intellectual property, copyright, NCAA/NAIA compliance, student affairs, and applicability of California and federal laws;
  • Communicate and confer, as necessary, with external entities, such as legal venues, agencies, university organizations, and other legal consortia that represent the interests of universities on national legal trends for colleges and universities;
  • Manage reviews of contracts, grants and other sponsored programs;
  • Oversee University responses to legal process (e.g. subpoenas);
  • Oversee protection of University service and trademarks;
  • Conduct legal research and prepare documents including opinions, memoranda, briefs, reports, and correspondences;
  • Assist with responsibilities of University regulatory compliance, such as the ADA, including development and regular revision of University policies (e.g., school catalogs);
  • Assist in the representation of the University in litigation and legally related matters. Oversee University responses to litigation, legal investigations, and other legal proceedings;
  • Lead the supervision and management of outside counsel;
  • Provide interpretations of existing and emerging laws and regulations, for liability mitigation and other purposes;
  • Represent the University in hearings, court proceedings, other legal proceedings, and meetings;
  • Prepare presentations, as needed, for University constituents;
  • Track public policy issues involving new and evolving laws, including statutes and regulations;
  • Provide counsel on FERPA, VAWA, and Clery Act compliance;
  • Partner with Title IX and Title VII office on interactions that include policies and investigations;
  • Partner with the VPF/CFO and Risk Manager on Enterprise Risk Management and Compliance issues. As part of this duty, builds relationships with colleagues across the institution to help them understand compliance issues. This includes developing and delivering education and training programs that address and promote compliance and identify risks;
  • Partner with Advancement to assist with Planned Giving efforts such as annuities, trusts, etc.;
  • Review all construction lien releases;
  • Assist Provost with Faculty Handbook;
  • Assist Human Resources with employment matters and labor laws;
  • May serve on the Risk Management and Safety Committees;
  • Maintains professional growth and development through seminars, workshops and professional affiliations to keep abreast of latest developments in regulatory changes and in other related areas; and
  • Perform other duties as assigned.

    MINIMUM QUALIFICATIONS:
  • Bachelor's degree, and J.D. Degree
  • Previous practice experience in non-profit, employment and educational law or other legal specialty that translates to a higher education setting preferred.
  • Licensed to practice law in State of California.
  • Strong negotiator.
  • Ability to communicate clearly, firmly, and tactfully.
  • Appropriately deal with confidential situations and information.
  • Ability to work well with people in a challenging environment.
  • Understanding of and commitment to VUSC's mission and philosophy.

    SALARY:
    Full-time position. Salary iscommensurate with education and experience and includes a generous benefits package.
